Terms of Use.

These Terms of Use (“Terms” or “Agreement”) constitute a legally binding agreement between you and WT PUBLISHING LTD, a company incorporated under the laws of the Republic of Cyprus (“WT PUBLISHING”, “we”, “us” or “our”) and govern your access to and use of Bander.

Bander includes the mobile application, website and any related features, tools and services made available under the Bander brand (collectively, the “Services”).

By downloading, accessing or using any part of the Services, you acknowledge that you have read, understood and agreed to be bound by these Terms and the Privacy Policy. If you do not agree, you must not access or use the Services.

1.ACCEPTANCE AND ELIGIBILITY

1.1By downloading, accessing or using Bander, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Bander. You must be at least 13 years old. If the law where you live requires parental or guardian consent for a person of your age to use online services, you may use Bander only with that consent. Bander is not directed to children under 13.

1.2You represent that you have the legal capacity to enter into these Terms. If you have not reached the age of legal majority in your jurisdiction, you may use the Services only with the involvement and consent of your parent or legal guardian where required by applicable law. If you use the Services on behalf of a business or other legal entity, you represent that you are authorised to bind that entity to these Terms.

2.DEFINITIONS

2.1“User” means any individual who accesses, downloads, installs or uses Bander or any part of the Services, whether on a temporary, occasional or regular basis.

2.2“User Engagement” means any musical performance, microphone input, audio recording, content, material, information, communication, feedback or other interaction created, provided, recorded, uploaded, shared, transmitted or otherwise made available by a User through or in connection with Bander or the Services. For the avoidance of doubt, the term “User Engagement” does not, by itself, grant WT PUBLISHING any ownership, licence or right of access in respect of microphone input or recordings that remain stored solely on the User’s device. Any rights granted to WT PUBLISHING in relation to a shared recording are limited to those expressly set out in Section 5.

3.THE SERVICES

3.1Bander is a digital platform, including its mobile application, website, and any related services, designed to enhance a User’s musical performance through the use of proprietary software and artificial intelligence-assisted (“AI”) audio technology. By processing audio captured from a compatible device, Bander analyses the User’s musical performance in real time and generates dynamic accompanying musical backing intended to create an experience similar to performing with a band or other musicians.

3.2Subject to the technical capabilities and settings of the User’s device, Bander may be used with external speakers or other compatible audio equipment connected by cable, Bluetooth, or other supported connection methods.

3.3Access to certain features of Bander requires an active paid subscription. In the current version of Bander, starting a jam session requires an active subscription or, where WT PUBLISHING makes one available, a limited free allowance. Recordings already saved on your device, their playback and the in-app conversation remain available without a subscription. WT PUBLISHING reserves the right to introduce, modify, restrict, or discontinue particular features or functionality, including the features for which a subscription is required, in future versions of the application, subject to applicable law and any notice requirements.

3.4Subscriptions renew automatically until cancelled. Where you obtain a subscription through the Apple App Store, that purchase is made with and billed by Apple, and you may view, manage or cancel it at any time in the subscription settings of your Apple account. The available plans, prices, billing periods and renewal terms are displayed to you before you complete a purchase and may vary by country or region.

3.5No user account or registration is required in order to purchase or use a subscription obtained through the Apple App Store. Where a subscription is obtained directly from WT PUBLISHING, email verification is used solely in order to make that subscription available in the application on your device.

3.6Bander is provided solely as a creative and entertainment tool. It is not intended to constitute, and must not be relied upon as, a professional recording, mixing, mastering, audio-engineering, hearing-protection, or safety service.

3.7The quality, accuracy, responsiveness, and availability of the Services may vary depending on factors including the musical instrument used, the User’s device and operating system, microphone quality, background noise, acoustic environment, speaker or accessory compatibility, internet or Bluetooth connectivity, and other technical conditions outside WT PUBLISHING’s reasonable control.

3.8WT PUBLISHING does not warrant that any musical backing, audio output, or other result generated through Bander will be uninterrupted, error-free, unique, suitable for a particular musical or commercial purpose, or compatible with every device, instrument, speaker, or accessory.

4.DEVICE PERMISSIONS, AUDIO PROCESSING AND RECORDINGS

4.1In order to provide its core functionality, Bander requires permission to access the microphone of the User’s device. Microphone access enables Bander to capture and analyse the User’s musical performance and generate the corresponding musical backing.

4.2The User may refuse, disable or withdraw microphone permission at any time through the privacy or application settings of the relevant device. Where microphone access is denied or withdrawn, some or all of Bander’s core functionality may become unavailable or may not operate as intended.

4.3Audio captured through the User’s device microphone may be processed partly on the User’s device and partly through remote servers operated by WT PUBLISHING or its authorised technology providers, where such processing is necessary to analyse the User’s musical performance and generate the corresponding musical backing. This may involve the transmission of audio data and related technical information over the internet.

4.4Audio data transmitted for the operation of Bander’s AI-assisted features shall be processed for the purposes of providing the Services, maintaining their security and reliability and diagnosing technical issues. Where separately disclosed and lawfully authorised, such Audio Data may also be used to test, evaluate, develop or improve the relevant audio functionality or Bander-specific artificial-intelligence or machine-learning models. Any storage or retention of such Audio Data shall be limited to the retention periods or criteria and purposes described in the Privacy Policy.

4.5Unless the User separately and affirmatively chooses to share a recording through the functionality provided within Bander, any completed recording created and saved by the User shall remain stored locally on the User’s device and shall not be retained by WT PUBLISHING as a stored recording file. This does not prevent the temporary transmission and processing of audio data as described in Sections 4.3 and 4.4.

4.6Where the User elects to share a recording, the relevant recording may be uploaded to and retained within WT PUBLISHING’s systems or the systems of its authorised service providers in accordance with the User’s express instruction, the applicable sharing notice displayed within Bander, these Terms and the Privacy Policy.

4.7Bander may request permission to access Bluetooth, the local network or similar device functionality where such access is reasonably necessary to identify, connect to or communicate with compatible speakers, audio equipment or other supported devices.

4.8Information relating to Bluetooth connections, paired devices or local network communications may be processed by the User’s device, operating system or the relevant third-party equipment provider. WT PUBLISHING does not control the functionality, security, availability or data-processing practices of any third-party device, operating system, hardware provider or connectivity service.

4.9The User is solely responsible for maintaining the security of their device and for protecting, managing, backing up, exporting or deleting recordings stored locally on that device. WT PUBLISHING cannot recover, restore or remotely delete a completed recording that remains stored solely on the User’s device and has not been shared through Bander.

4.10The User is responsible for ensuring that their use of the microphone and the creation or sharing of any recording complies with applicable laws and does not infringe the privacy, confidentiality, intellectual property, publicity or other rights of any third party. Where a recording contains the voice, performance or other personal information of another person, the User must obtain any consent or other lawful authority required under applicable law before creating or sharing that recording.

5.OPTIONAL SHARING OF RECORDINGS

5.1Bander may display a separate prompt inviting you to share a recording with WT PUBLISHING. Sharing is optional and requires an affirmative action. A shared recording may include your musical performance, your voice, other people’s voices and background sounds captured by the microphone, together with limited technical metadata.

5.2When you share a recording, you grant WT PUBLISHING a non-exclusive, worldwide and royalty-free licence, for the applicable retention period, to receive, host, copy, process and analyse that recording for the purposes described in the applicable sharing notice and the Privacy Policy. Depending on the functionality and technical configuration of Bander, such purposes may include operating the sharing functionality, providing support, investigating technical or security issues, conducting research and testing, and evaluating, developing, training or improving Bander-specific audio functionality and artificial-intelligence or machine-learning models. Where required by applicable law, the relevant purpose will be separately disclosed and subject to your affirmative consent. WT PUBLISHING will not publish or use the recording for advertising, or use it to train a general-purpose artificial-intelligence model or for a materially unrelated purpose, without separate notice and any additional consent required by applicable law.

5.3You may request deletion of a shared recording by emailing hey@bander.live. Because Bander has no user accounts, we may ask for information reasonably needed to locate the upload, such as the approximate upload date and time, device type or an upload reference shown in the app. Deletion of a Shared Recording will be handled in accordance with the Privacy Policy and applicable law. To the extent permitted by applicable law, deletion of the source recording does not necessarily require the deletion or reversal of aggregated or de-identified information, statistical results, evaluation metrics, model parameters or other outputs that no longer reasonably identify you.

6.YOUR MUSIC AND BANDER-GENERATED BACKING

6.1You retain any rights you have in your original performance and recordings. You are responsible for ensuring that you have the rights and permissions needed for any song, composition, lyrics, samples, voice or other material you perform, record, upload, share or distribute.

6.2Subject to these Terms, applicable law and third-party rights, and to the extent that WT PUBLISHING or its licensors hold the relevant rights, WT PUBLISHING grants you a worldwide, royalty-free and non-exclusive licence to use, reproduce, share and commercially exploit Bander-generated backing solely as incorporated into recordings created through Bander. This licence does not permit you to extract, reproduce or distribute any standalone stems, presets, models or other underlying materials unless Bander expressly provides such functionality. Nothing in this Section transfers ownership of Bander, its software, models, algorithms, trademarks or underlying technology.

6.3AI-assisted outputs may not be unique and similar musical elements may be generated for different users. WT PUBLISHING does not guarantee that an output will be original, error-free, suitable for a particular purpose or free from every possible third-party claim. You should review a recording before publishing or commercially using it.

7.ACCEPTABLE USE

7.1You shall use Bander only for lawful purposes and in accordance with these Terms and all applicable laws, regulations, and third-party rights.

7.2You shall not, directly or indirectly:

(a)use Bander in any unlawful, fraudulent, misleading, abusive, or unauthorised manner;

(b)create, record, upload, share, distribute, or otherwise process any content that infringes or violates any intellectual property right, privacy right, right of publicity, confidentiality obligation, contractual right, or other legal right of any person;

(c)record, upload, or share the voice, performance, personal information, or other identifiable material of any person without obtaining any consent, permission, or other lawful authority required under applicable law;

(d)upload, transmit, introduce, or make available through Bander any content or material that is illegal, harmful, threatening, abusive, defamatory, obscene, exploitative, discriminatory, malicious, or otherwise reasonably likely to cause harm to another person;

(e)use Bander to harass, intimidate, impersonate, deceive, exploit, or otherwise harm any person or organisation;

(f)copy, reproduce, modify, adapt, translate, reverse engineer, decompile, disassemble, decode, extract, or otherwise attempt to derive or discover any source code, object code, model, algorithm, dataset, system architecture, technical process, trade secret, or confidential know-how forming part of Bander, except to the limited extent that such restriction is expressly prohibited by applicable law;

(g)access or use Bander for the purpose of developing, training, testing, benchmarking, or improving any competing product, service, model, or technology without our prior written consent;

(h)circumvent, disable, interfere with, or attempt to bypass any security measure, access control, usage restriction, technical limitation, authentication mechanism, or protective feature implemented in connection with Bander;

(i)interfere with, disrupt, damage, overload, impair, or gain unauthorised access to Bander, its servers, networks, systems, databases, or any connected infrastructure;

(j)introduce or transmit any virus, Trojan horse, worm, malicious code, corrupted file, denial-of-service mechanism, or other software or technology intended to disrupt, damage, monitor, or obtain unauthorised access to any system or data;

(k)use any bot, crawler, spider, scraper, automated script, data-mining tool, or similar technology to access, monitor, copy, extract, index, test, or probe Bander or any part of its content, systems, or functionality without WT PUBLISHING’s prior written authorisation;

(l)remove, obscure, alter, or circumvent any copyright notice, trademark, attribution, proprietary notice, watermark, technical identifier, or other rights-management information associated with Bander or its outputs; or

(m)falsely or misleadingly represent that any Bander-generated backing, recording, output, or other content was created, performed, authorised, sponsored, or endorsed by a particular person, artist, organisation, or rights holder.

7.3You are solely responsible for your use of Bander and for any User Engagement created, provided, recorded, uploaded, shared, distributed or otherwise used by you through or in connection with the Services.

7.4WT PUBLISHING reserves the right, to the extent permitted by applicable law, to restrict, suspend, or terminate access to any network-based feature of Bander where WT PUBLISHING reasonably believes that these Terms have been breached or that such action is necessary to protect Bander, WT PUBLISHING, its users, its service providers, or any third party.

8.AI-ASSISTED OUTPUT DISCLAIMER

8.1Bander uses artificial intelligence-assisted audio technology to analyse the User’s musical performance and generate accompanying musical backing. Due to the nature of such technology, generated outputs may vary in quality, accuracy, timing, style, or suitability and may occasionally contain errors, distortions, unexpected elements, or results that do not correspond to the User’s expectations.

8.2AI-assisted outputs are generated automatically and may not be unique. Similar musical elements or arrangements may be generated for different Users. We do not guarantee that any output will be original, error-free, suitable for a particular purpose, or free from all potential third-party claims.

8.3The User is responsible for reviewing any recording or generated output before publishing, distributing, performing, or commercially exploiting it. To the maximum extent permitted by applicable law, WT PUBLISHING shall not be liable for any loss, damage, claim, or adverse consequence arising from the User’s reliance on or use of AI-assisted outputs, except where such liability cannot lawfully be excluded or limited.

9.ACCESSIBILITY

9.1We are committed to making Bander accessible to the widest reasonably possible range of Users, including individuals with disabilities. We seek to consider recognised accessibility principles when designing and developing the application, website, and related digital interfaces.

9.2Although we use reasonable efforts to improve accessibility and usability, certain features may be affected by device capabilities, operating-system settings, third-party technologies, or other technical limitations. We do not guarantee that every feature will be fully accessible on every device or in every configuration.

9.3If you experience an accessibility barrier when using Bander or require assistance accessing any part of the Services, please contact us at hey@bander.live.

10.INTELLECTUAL PROPERTY

10.1The Bander name, logo, trademarks, visual identity and other distinctive brand elements associated with Bander (collectively, the “Bander Brand”) are protected by applicable intellectual property laws. You may not copy, reproduce, modify, display or otherwise use the Bander Brand without prior written permission, except as expressly permitted by applicable law.

10.2Subject to these Terms and applicable app-store rules, you are granted a limited, personal, revocable, non-exclusive and non-transferable licence to install and use Bander on devices that you own or control.

11.UPDATES, AVAILABILITY AND CHANGES

11.1We may update, improve, suspend or discontinue all or part of Bander. Features may change and may not be available on every device, operating system or country. We do not promise uninterrupted availability or compatibility with every instrument, speaker or accessory. You are responsible for internet, mobile, Bluetooth, hardware and third-party service charges, if any.

12.NOTIFICATIONS

12.1If you opt in, Bander may send push notifications about important service information, product news or updates. You can disable notifications at any time in your device settings. Disabling marketing or update notifications will not prevent essential messages displayed inside the app.

13.DISCLAIMER OF WARRANTIES

13.1YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF BANDER AND THE SERVICES IS ENTIRELY AT YOUR OWN RISK.

13.2BANDER AND ALL RELATED FEATURES, AI-ASSISTED AUDIO OUTPUTS, MUSICAL BACKING, RECORDING FUNCTIONALITY, SOFTWARE, CONTENT AND SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE” AND “WITH ALL FAULTS” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WT PUBLISHING EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE OR TRADE PRACTICE.

13.3WT PUBLISHING, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS AND LICENSORS MAKE NO REPRESENTATION OR WARRANTY THAT:

(a)BANDER OR THE SERVICES WILL MEET YOUR REQUIREMENTS, EXPECTATIONS OR INTENDED MUSICAL OR COMMERCIAL PURPOSE;

(b)BANDER WILL OPERATE WITHOUT INTERRUPTION, DELAY, TECHNICAL FAILURE, LOSS OF DATA, SECURITY INCIDENT OR ERROR;

(c)BANDER WILL BE COMPATIBLE WITH EVERY DEVICE, OPERATING SYSTEM, MUSICAL INSTRUMENT, MICROPHONE, SPEAKER, CABLE, BLUETOOTH CONNECTION OR OTHER EQUIPMENT;

(d)ANY AI-ASSISTED MUSICAL BACKING, RECORDING OR OTHER OUTPUT WILL BE ACCURATE, UNIQUE, ORIGINAL, ERROR-FREE OR SUITABLE FOR ANY PARTICULAR USE;

(e)ANY RECORDING STORED ON YOUR DEVICE WILL BE PRESERVED, RECOVERABLE OR FREE FROM LOSS, CORRUPTION OR DELETION; OR

(f)ANY ERROR, DEFECT OR TECHNICAL ISSUE WILL BE IDENTIFIED OR CORRECTED.

13.4WT PUBLISHING DOES NOT CONTROL AND DISCLAIMS RESPONSIBILITY FOR THIRD-PARTY DEVICES, OPERATING SYSTEMS, APP STORES, TELECOMMUNICATION NETWORKS, BLUETOOTH SERVICES, SPEAKERS, MUSICAL EQUIPMENT OR OTHER THIRD-PARTY PRODUCTS OR SERVICES USED IN CONNECTION WITH BANDER.

13.5YOU ARE RESPONSIBLE FOR DETERMINING WHETHER YOUR USE OF BANDER, INCLUDING THE CREATION, RECORDING, SHARING, DISTRIBUTION OR COMMERCIAL USE OF ANY AUDIO CONTENT, COMPLIES WITH THE LAWS AND THIRD-PARTY RIGHTS APPLICABLE TO YOU.

13.6NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY, RIGHT OR REMEDY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE CONSUMER LAW.

14.LIMITATION OF LIABILITY

14.1TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WT PUBLISHING, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS AND LICENSORS (COLLECTIVELY, THE “WT PUBLISHING PARTIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, BUSINESS, OPPORTUNITY, DATA OR RECORDINGS, ARISING OUT OF OR RELATING TO:

(a)YOUR USE OF, OR INABILITY TO USE, BANDER OR ANY PART OF THE SERVICES;

(b)ANY INTERRUPTION, SUSPENSION, DELAY, ERROR, DEFECT OR FAILURE OF BANDER;

(c)ANY AI-ASSISTED MUSICAL BACKING, RECORDING OR OTHER OUTPUT CREATED THROUGH BANDER;

(d)THE LOSS, CORRUPTION, DELETION OR INABILITY TO RECOVER ANY RECORDING OR OTHER DATA STORED ON YOUR DEVICE;

(e)ANY CLAIM ARISING FROM USER ENGAGEMENT CREATED, RECORDED, UPLOADED, SHARED, DISTRIBUTED OR COMMERCIALLY USED BY YOU, INCLUDING ANY CLAIM RELATING TO INTELLECTUAL PROPERTY, PRIVACY, PUBLICITY OR OTHER THIRD-PARTY RIGHTS;

(f)ANY DEVICE, OPERATING SYSTEM, SPEAKER, MUSICAL INSTRUMENT, CABLE, BLUETOOTH CONNECTION, NETWORK OR OTHER THIRD-PARTY PRODUCT OR SERVICE USED IN CONNECTION WITH BANDER; OR

(g)ANY DAMAGE TO YOUR DEVICE, SOFTWARE, EQUIPMENT OR DATA RESULTING FROM TECHNICAL FAILURE, INCOMPATIBILITY, NETWORK INTERRUPTION, SECURITY INCIDENT OR MALICIOUS CODE.

14.2TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL CUMULATIVE LIABILITY OF THE WT PUBLISHING PARTIES ARISING OUT OF OR RELATING TO BANDER OR THESE TERMS, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF:

(a)ONE HUNDRED U.S. DOLLARS (USD 100); OR

(b)THE AMOUNT, IF ANY, PAID BY YOU TO WT PUBLISHING FOR THE SERVICES DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14.3THE LIMITATIONS SET OUT IN THIS SECTION APPLY REGARDLESS OF WHETHER THE RELEVANT LOSS OR DAMAGE WAS FORESEEABLE OR WHETHER WT PUBLISHING WAS ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE, AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

14.4YOU ACKNOWLEDGE THAT THE DISCLAIMERS AND LIMITATIONS OF LIABILITY CONTAINED IN THESE TERMS FORM A REASONABLE ALLOCATION OF RISK BETWEEN YOU AND WT PUBLISHING AND ARE A MATERIAL BASIS UPON WHICH BANDER IS MADE AVAILABLE TO YOU.

14.5NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, WILFUL MISCONDUCT, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. YOUR MANDATORY CONSUMER RIGHTS REMAIN UNAFFECTED.

15.INDEMNIFICATION

15.1To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless WT PUBLISHING, its affiliates, directors, officers, employees, contractors, service providers and licensors from and against any third-party claims, liabilities, losses, damages, costs and reasonable legal expenses arising out of or relating to:

(a)your unlawful or unauthorised use of Bander or any User Engagement;

(b)your material breach of these Terms;

(c)any User Engagement created, recorded, uploaded, shared, distributed or otherwise used by you through or in connection with Bander;

(d)your actual or alleged infringement of any third party’s intellectual property, privacy, publicity, confidentiality or other legal rights;

(e)your violation of any applicable law or regulation; or

(f)any false, misleading or fraudulent representation made by you in connection with Bander or any User Engagement.

15.2You shall provide reasonable cooperation in the defence of any claim covered by this Section. WT PUBLISHING reserves the right, at its own expense, to assume the exclusive defence and control of the relevant matter. You shall not settle any such claim in a manner that imposes any liability or obligation on WT PUBLISHING without its prior written consent.

15.3This Section does not require you to indemnify WT PUBLISHING for any claim arising from WT PUBLISHING’s own negligence, wilful misconduct or breach of applicable law. Mandatory consumer rights remain unaffected.

15.4The obligations under this Section shall survive termination of these Terms to the extent that they relate to any act, omission or User Engagement occurring before termination.

16.ASSIGNMENT

16.1You may not assign, delegate, sublicense or otherwise transfer these Terms, or any of your rights or obligations under them, without the prior written consent of WT PUBLISHING. Any attempted assignment or transfer made in breach of this Section shall be invalid to the extent permitted by applicable law.

16.2WT PUBLISHING may assign or transfer these Terms, in whole or in part, without your consent, including to an affiliate or in connection with a merger, acquisition, corporate reorganisation, financing, or sale of all or part of the business or assets relating to Bander.

16.3Any assignment or transfer by WT PUBLISHING shall not reduce or otherwise adversely affect your mandatory rights under applicable consumer or data protection law.

17.GOVERNING LAW AND DISPUTE RESOLUTION

17.1These Terms and any dispute or claim arising out of or in connection with them, Bander or the Services shall be governed by the laws of the Republic of Cyprus, without regard to its conflict-of-laws principles.

17.2If you use Bander as a consumer, this choice of law shall not deprive you of any mandatory rights or protections available under the laws of the country in which you habitually reside.

17.3The courts of the Republic of Cyprus shall have non-exclusive jurisdiction over any dispute arising out of or relating to these Terms, Bander or the Services. If you are a consumer, you may also bring proceedings before any other court having jurisdiction under applicable consumer protection law.

17.4Before commencing formal legal proceedings, you are encouraged to contact WT PUBLISHING at hey@bander.live so that you and WT PUBLISHING may attempt to resolve the dispute in good faith. This provision does not prevent you or WT PUBLISHING from seeking urgent, interim or injunctive relief from a court of competent jurisdiction.

17.5You and WT PUBLISHING may agree in writing, after a dispute has arisen, to submit that dispute to mediation or binding arbitration. No User shall be required to participate in arbitration unless such participation is separately and expressly agreed.

17.6Nothing in this Section limits WT PUBLISHING’s right to seek appropriate relief before any court of competent jurisdiction in relation to an actual or threatened infringement, misuse or unauthorised disclosure of the Bander Brand, confidential information, intellectual property or proprietary technology.

18.GENERAL

18.1Entire Agreement. These Terms, the Privacy Policy available at https://bander.live/privacy, and any additional terms or legal notices expressly incorporated into these Terms constitute the entire agreement between you and WT PUBLISHING concerning your access to and use of Bander and the Services. They supersede all prior or contemporaneous agreements, representations, communications and understandings, whether written or oral, relating to the same subject matter.

18.2Severability. If any provision of these Terms is held to be unlawful, invalid or unenforceable by a court or other authority of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by applicable law or, where necessary, modified to give effect to its intended purpose. The remaining provisions shall continue in full force and effect.

18.3No Waiver. Any failure or delay by WT PUBLISHING in exercising or enforcing any right or provision under these Terms shall not constitute a waiver of that right or provision. Any waiver must be expressly made in writing and shall apply only to the specific circumstances for which it is given.

18.4Changes to these Terms. WT PUBLISHING may amend or update these Terms from time to time to reflect changes to Bander, the Services, applicable law, regulatory requirements, security practices or business operations.

18.5The revised Terms will be made available through Bander, the website or another appropriate communication channel, and the “Effective Date” will be updated accordingly.

18.6Your continued use of Bander after the revised Terms become effective constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must discontinue your use of Bander and the Services.

18.7Headings. Section headings are included for convenience only and shall not affect the interpretation of these Terms.

18.8Language. These Terms may be made available in languages other than English. In the event of any inconsistency between the English version and a translated version, the English version shall prevail, except where applicable law requires otherwise.
